Right to information

From the date of publication of the call to the General Shareholders’ Meeting, all the documents therefore are made available to the shareholders on digital media and on this corporate website in accordance with IBERDROLA’s policy of respect for and protection of the environment.

Without prejudice to the foregoing, the shareholders have the right to examine the following documents at the registered office of the Company and to request that such documents be delivered or sent to them without charge (which documents may be sent by e-mail, with confirmation of receipt, if the shareholder accepts such delivery):

  • The individual and consolidated annual financial statements and management reports of IBERDROLA, S.A., together with the corresponding auditor’s reports.
  • The full text of the proposed resolution relating to the authorized capital and the corresponding Director´s report.
  • The full text of the proposed resolution relating to the delegation to the Board of Directors of the power to issue debentures and other convertible and/or exchangeable securities into shares of the Company and to exclude the pre-emptive rights of the Company’s shareholders.
  • The full text of the proposed resolution relating to the amendment of the By-Laws and the corresponding Director´s report.
  • The documents listed in Section 39.1 of Law 3/2009, of April 3, on structural modifications to corporations (“Structural Modifications Law”) with respect to the merger by absorption of IBERDROLA RENOVABLES, S.A.
  • The reports of the Board of Directors, and of an auditor other than the Company’s auditor appointed for such purposes by the Commercial Registry, regarding the resolution to increase capital adopted by the Board of Directors on March 11, 2011.

Aditional information, clarifications and questions

Up to the seventh day prior to the date provided for the first call to Meeting (i.e. until midnight on May 20, 2011), the shareholders may also request the information or clarifications that they deem are required, or ask the questions they deem relevant regarding the matters contained in the Agenda and the information accessible to the public which has been provided by the Company to the National Securities Market Commission since the General Shareholders’ Meeting on March 26, 2010, through a written request to the Company.

To that effect, shareholders are provided with an application in order submit their requests by electronic correspondence sent by the shareholder through this corporate website with his recognized electronic signature, based on the electronic certificate issued for this purpose by the Royal Spanish Mint (Fábrica Nacional de Moneda y Timbre ) and in respect of which no revocation has been recorded. The shareholder must meet the requirements specified on the mentioned application, and provide evidence of the shareholder’s status as such, in order for this information to be checked against that provided by IBERCLEAR.

The Company reserves the right to modify, suspend, cancel or restrict the mechanisms for requesting information and for replying thereto by electronic correspondence whenever technical or security reasons require it or make it imperative to safeguard the corporate interest.

Furthermore, shareholders who so desire may deliver to the Company their duly completed attendance, proxy and distance voting card (or equivalent verification of representative authority) at the places and times set forth above. In this case, they will receive a gift to be delivered to those shareholders who personally attend the General Shareholders’ Meeting.

IBERDROLA, S.A. will pay an attendance fee of 0.005 euros (gross) per share for shares represented in person or by proxy at the General Shareholders’ Meeting upon due verification of attendance in person or by proxy.
